1. Who we are and how to contact us

LegalDirectory.org.uk (the "Directory", "we", "us", "our") is a trading style of NE26 Limited, a company registered in England and Wales with company number 16030871, whose registered office is First Floor Office, 3 Hornton Place, London, United Kingdom, W8 4LZ.

We are registered with the Information Commissioner's Office as a data controller under registration reference ZC054682. You can contact us at hello@legaldirectory.org.uk or by writing to the registered office above.

2. Acceptance of these terms

These terms of use, together with our Privacy Notice, Cookie Policy, Acceptable Use Policy, Disclaimer, Editorial Policy, How We Rank Firms and Corrections Policy (together, the "Terms"), govern your access to and use of the Directory.

By accessing, browsing, searching, submitting an enquiry, claiming a listing or purchasing a subscription, you confirm that you accept the Terms and agree to comply with them. If you do not agree, you must not use the Directory.

If you use the Directory on behalf of a business, firm or other organisation, you warrant that you have authority to bind that organisation and "you" means both you and that organisation.

3. Definitions

• "Content" means all text, data, listings, rankings, guides, imagery, code and other material made available on the Directory.
• "Firm" means a law firm, solicitor practice or other legal services provider listed on the Directory.
• "Firm Content" means information supplied to us by or on behalf of a Firm, including profile copy, contact details and service descriptions.
• "Listing" means a Firm's profile page and associated entries in search results and category pages.
• "Subscriber" means a Firm that has purchased a paid subscription.
• "SRA" means the Solicitors Regulation Authority.
• "User" means any person who accesses the Directory, whether or not they hold an account.

4. Nature of the service - no legal advice, no referral, no endorsement

The Directory is an information service only. NE26 Limited is not a law firm, is not a solicitor, is not authorised or regulated by the SRA or the Financial Conduct Authority, and is not a claims management company or an introducer of legal business for reward on a case-by-case basis.

Nothing on the Directory constitutes legal advice, and no content should be relied upon as a substitute for advice from a qualified solicitor about your specific circumstances. Using the Directory does not create a solicitor-client relationship, a retainer or any duty of care between you and us.

A Firm's presence, position, ranking, category placement or subscription status on the Directory is not a recommendation, endorsement, accreditation, certification or warranty of that Firm's competence, quality, regulatory standing, insurance, solvency or suitability for your matter. You are solely responsible for your decision to contact or instruct any Firm, and any engagement you enter into is a matter exclusively between you and that Firm.

We are not a party to, and accept no responsibility or liability for, any retainer, advice, service, fee arrangement, omission, delay, negligence, breach or dispute arising between you and any Firm.

5. Regulatory data and accuracy

Regulatory information - including SRA numbers, authorised status, office addresses and work areas - is derived from data published by the SRA and is reproduced on an "as available" basis. Data is synchronised periodically and may be incomplete, superseded or out of date between synchronisations.

Firm Content is supplied by Firms and is not independently verified by us unless we expressly state otherwise on the relevant page. Rankings and ordering are generated by our own methodology, described in How We Rank Firms.

You must independently verify a Firm's current authorisation and regulatory standing directly with the SRA at sra.org.uk before instructing it. We give no warranty that any Content is accurate, complete, current or fit for any purpose.

6. Permitted use and licence

We grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Directory for your own internal business purposes or personal use in identifying and contacting legal services providers.

All intellectual property rights in the Directory and the Content (excluding Firm Content and SRA source data, which remain the property of their respective owners) belong to NE26 Limited or its licensors. No rights are granted to you other than the limited licence set out above.

7. Prohibited use

You must not do any of the following, and must not permit or facilitate any third party to do so:

• Scrape, crawl beyond our robots.txt directives, harvest, index for a competing product, data-mine, bulk-download or systematically extract Content.
• Copy, reproduce, republish, resell, sublicense, distribute or create derivative datasets or directories from the Content.
• Use the Directory, or any contact details obtained through it, to send unsolicited marketing, spam or bulk communications, or to build marketing lists.
• Use automated tools, bots, headless browsers or scripts to access the Directory except for search engine crawlers acting in accordance with robots.txt.
• Circumvent, disable or interfere with paywalls, access controls, verification steps, rate limits or security features.
• Submit false, misleading, defamatory, discriminatory, obscene or unlawful material, or impersonate any person, Firm or regulator.
• Introduce viruses, trojans, worms, logic bombs or other malicious code, or attempt any denial-of-service attack or unauthorised access to our systems.
• Use the Directory in any way that breaches applicable law, including the Computer Misuse Act 1990, UK GDPR and the Data Protection Act 2018, or the Privacy and Electronic Communications Regulations 2003.

8. Enquiries and submissions

When you submit an enquiry, we transmit your details to the Firm you selected so it can respond. We do not control whether or how a Firm responds, the content of its response, or the terms it may offer. Enquiries are not confidential or privileged, and you should not include sensitive case material in them.

You are responsible for the accuracy of anything you submit and warrant that you have the right to share it. We may decline, moderate, edit or remove any submission at our discretion, and may retain records of submissions for audit, fraud-prevention and legal purposes.

9. Firm listings and claiming a profile

Unclaimed Listings may be created from publicly available regulatory data. A Firm may claim its Listing by completing our verification process, which may require confirmation from an email address at the Firm's own domain and evidence of authority.

By claiming a Listing you warrant that you are authorised to act for the Firm, that the Firm is properly authorised and regulated to provide the services it lists, that it holds current professional indemnity insurance meeting its regulator's minimum terms, and that all Firm Content is accurate, not misleading and compliant with the SRA Standards and Regulations, including the SRA Transparency Rules and Code of Conduct.

You grant us a worldwide, royalty-free, non-exclusive licence to host, reproduce, adapt for formatting, and display Firm Content on the Directory and in related marketing for as long as the Listing is live, and to retain archival copies thereafter.

You indemnify us against all claims, losses, damages, regulatory penalties and reasonable legal costs arising from Firm Content or from any breach of the warranties in this clause.

We may suspend, amend, downgrade or remove any Listing at our sole discretion, including where a Firm ceases to be authorised, where content is inaccurate or non-compliant, where we receive a credible complaint, or where these Terms are breached. We may also permanently exclude a Firm from the Directory.

10. Subscriptions, fees and payment

Paid Firm subscriptions are offered at the prices displayed on our Pricing page, currently £19 plus VAT per month or £199 plus VAT per year. All prices exclude VAT, which is charged at the prevailing UK rate where applicable.

Payments are processed by Stripe Payments Europe Limited. We do not store card details. You must provide accurate billing information and authorise us and Stripe to charge the payment method you supply.

Subscriptions renew automatically at the end of each billing period at the then-current price until cancelled. We will give at least 30 days' notice by email of any price increase taking effect at your next renewal.

You may cancel at any time through the billing portal or by emailing us. Cancellation takes effect at the end of the current billing period; access to Subscriber features continues until then. We do not provide pro-rata refunds for part-periods except where required by law or where we have materially failed to provide the service.

If a payment fails, we may retry collection, suspend Subscriber features and, after 14 days of non-payment, terminate the subscription. Interest on late sums may be charged under the Late Payment of Commercial Debts (Interest) Act 1998.

Subscriptions are sold to Firms acting in the course of business. Consumer cancellation rights under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 do not apply to business subscribers. Where a subscriber does qualify as a consumer, the 14-day right to cancel applies, and by requesting immediate access you agree that the service begins during that period and that you will pay for services supplied before you cancel.

11. What Subscriber status does and does not provide

A subscription unlocks publication of the Firm's direct contact details, an enhanced profile and related Subscriber features. It does not purchase favourable rankings, editorial coverage, verification of quality, guaranteed enquiry volumes, leads, revenue, search engine positions or any particular commercial outcome, and no such outcome is warranted.

We may change, add to or withdraw features from time to time. Where a change materially reduces the value of a paid subscription, you may cancel and receive a pro-rata refund of prepaid fees for the unexpired period.

12. Accounts and security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately at hello@legaldirectory.org.uk if you suspect unauthorised use. We may suspend or disable any account where we reasonably believe these Terms have been breached or security has been compromised.

13. Availability and changes to the Directory

The Directory is provided on an "as is" and "as available" basis. We do not guarantee that it will be uninterrupted, error-free, secure or free of viruses, and we may suspend, withdraw or restrict all or part of it for business or operational reasons without liability, giving reasonable notice where practicable.

We may update the Content and functionality at any time. We may amend these Terms; the current version is always published on this page with its last-updated date, and material changes affecting Subscribers will be notified by email at least 30 days in advance.

14. Third-party links and services

The Directory contains links to Firm websites and third-party resources. Those links are provided for convenience only and do not imply endorsement. We have no control over, and accept no responsibility for, the content, availability, security, privacy practices or services of any third-party site.

15. Disclaimers and exclusion of warranties

To the fullest extent permitted by law, we exclude all conditions, warranties, representations and other terms which might otherwise be implied by statute, common law or the law of equity, including as to accuracy, satisfactory quality, fitness for purpose and non-infringement.

We do not warrant that the Directory lists every regulated Firm, that any listed Firm remains authorised, that Firm Content is truthful, that any Firm will respond to an enquiry, or that any Firm will accept instructions.

16. Limitation of liability

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for breach of the terms implied by section 12 of the Sale of Goods Act 1979 or section 2 of the Supply of Goods and Services Act 1982, or for any other liability that cannot lawfully be limited or excluded.

Subject to the paragraph above, we will not be liable to you, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any loss of profits, loss of business, business interruption, loss of anticipated savings, loss of goodwill, loss of enquiries or leads, loss or corruption of data, wasted legal or professional costs, or any indirect, special or consequential loss.

Subject to the first paragraph of this clause, our total aggregate liability arising out of or in connection with the Directory and these Terms in any 12-month period is limited to: (a) for Subscribers, the total fees paid by you to us in the 12 months preceding the event giving rise to the claim; and (b) for all other Users, £100.

We are not liable for any loss arising from your reliance on Content, from any act or omission of a Firm, or from your engagement of a Firm. Claims relating to legal services must be pursued against the Firm concerned or, where applicable, through the Legal Ombudsman or the SRA.

You use the Directory for business purposes; we accept no liability for loss suffered in a business context beyond the caps set out above. If you are a consumer, these Terms do not affect your statutory rights.

17. Indemnity

You agree to indemnify and hold harmless NE26 Limited, its officers, employees and contractors against all claims, demands, liabilities, losses, damages, regulatory fines and reasonable legal and professional costs arising from your breach of these Terms, your misuse of the Directory, any Firm Content you supply, or any content or communication you submit through the Directory.

18. Suspension and termination

We may suspend or terminate your access, account or Listing immediately and without refund if you materially breach these Terms, if we are required to do so by law or a regulator, if you become insolvent, or if we reasonably suspect fraudulent, unlawful or abusive activity. Clauses relating to intellectual property, prohibited use, liability, indemnity and governing law survive termination.

19. Data protection

Our processing of personal data is described in our Privacy Notice. Where a Firm receives enquiry data from us, each party acts as an independent controller in respect of that data and is separately responsible for compliance with UK GDPR, including providing its own privacy information to the enquirer.

20. Complaints, notices and reporting content

If you believe Content is inaccurate, unlawful, infringing or defamatory, contact hello@legaldirectory.org.uk with the URL, the specific text complained of and the reason. We will review promptly in line with our Corrections Policy and remove or amend Content where appropriate. Complaints about our own service are handled under our Complaints Policy.

Notices to us must be sent by email to hello@legaldirectory.org.uk or by post to the registered office. Notices to you will be sent to the email address on your account and are deemed received 24 hours after sending.

21. General

Force majeure: we are not liable for any failure or delay caused by events beyond our reasonable control, including outages of hosting, payment or data providers.

Assignment: you may not assign or transfer your rights without our written consent. We may assign our rights and obligations to a successor in connection with a reorganisation or sale of the business.

Waiver and severability: a failure to enforce any provision is not a waiver of it. If any provision is held invalid or unenforceable, the remaining provisions continue in force and the offending provision applies with the minimum modification necessary to make it lawful.

Entire agreement: these Terms constitute the entire agreement between you and us and supersede all prior representations. Nothing in this clause limits liability for fraudulent misrepresentation.

Third-party rights: no person other than you and NE26 Limited has any right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.

No partnership or agency is created between you and us by these Terms.

22. Governing law and jurisdiction

These Terms, their subject matter and their formation (and any non-contractual disputes or claims) are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, save that if you are a consumer resident in Scotland or Northern Ireland you may also bring proceedings in your home courts.
